Texas Lone Star Moringa LLC Web Mastering Contract

WEBSITE MASTERING SERVICES AGREEMENT

This Agreement is entered into between VIP TECHNOLOGIES (“Service Provider”) and Texas Lone Star Moringa LLC (“TLSM LLC”).

This Agreement is negotiable. Changes or modifications may be made by mutual written agreement prior to signing.

Independent Contractor Status

VIP TECHNOLOGIES operates as an independent contractor and not as an employee, partner, or partner entity of TLSM LLC.

Service Tiers & Pricing

All prices listed below reflect monthly service rates.

Clients may select Month-to-Month service or receive a 20% discount by selecting an Annual (12-Month) Agreement paid in advance.

TIER I – ESSENTIAL WEB CARE
$300 per month
$2,880 annually (20% savings of $720)

Does NOT include Social Media Management!

Includes:

• Basic website updates
• Homepage SEO optimization only
• Downtime monitoring
• Basic analytics review
• Minor troubleshooting

Tier I does NOT include graphic creation, branding work, AEO optimization, landing page builds, custom code, structural changes, or advanced SEO services.

TIER II – GROWTH MANAGEMENT
$500 per month
$4,800 annually (20% savings of $1,200)

Does NOT include Social Media Management!

Includes everything in Tier I, plus:

• SEO optimization for additional pages
• AEO optimization
• Custom graphic creation (AI-assisted and Photoshop branding)
• Landing page creation
• Conversion optimization adjustments
• Subscription service integration
• Advanced analytics review
• Moderate troubleshooting
• Limited custom code implementation

TIER III – FULL WEBSITE MASTERING (VIP EXECUTIVE)
$1,000 per month
$9,600 annually (20% savings of $2,400)

Includes everything in Tier I and Tier II, plus:

• Unlimited graphic creation for web use
• Advanced branding development
• Full page builds and structural redesigns
• Custom feature integration
• Unique code development
• Advanced SEO and AEO strategy implementation
• Ongoing optimization strategy
• Special requests from TLSM LLC within reasonable scope

INCLUDES: Social Media Management (Up to 4 Platforms)

Tier III includes social media management and image creation for up to four (4) platforms with the following monthly posting maximums:

• Facebook – Up to 15 posts per month
• Instagram – Up to 15 posts per month
• TikTok – Up to 10 posts per month
• YouTube – Up to 4 posts per month

Social media services include:

• Custom image creation
• Caption writing
• Basic hashtag optimization
• Content scheduling

Real Time video production, paid advertising management (advertising costs must be paid by Texas Lone Star Moringa LLC), influencer outreach, and advanced video editing services are NOT included unless agreed upon separately in writing and will add the cost or the product requested.

Unused social media posts do NOT roll over to future months.

Services outside the reasonable scope of Website Mastering may require a separate written agreement or additional fee.

Workload Cap

Total service time provided under this Agreement shall not exceed 38 hours per week.

Any work requested beyond 38 hours per week must be approved in writing and may be billed separately at an agreed rate.

Unused hours do not roll over into future weeks or months.

Availability & Turnaround

VIP TECHNOLOGIES will be available for communication and service between 9:00 AM and 5:00 PM Central Standard Time (CST), seven (7) days per week.

Most standard service requests will receive a response or action within 24 hours during normal availability hours.

The 24-hour turnaround does not apply on:

• Christmas Day
• Thanksgiving Day
• New Year’s Day

Requests submitted outside normal business hours or on the listed holidays will be addressed during the next applicable business period.

Emergency or expedited requests may require a separate agreement or additional fee.

Plain Language Explanation of SEO and AEO

SEO improves website visibility in search engines like Google so customers can find TLSM LLC organically.

AEO improves how the website appears in AI-generated answers and voice search tools, helping TLSM LLC show up when customers ask direct product-related questions.

Term Options

Services may be structured as Month-to-Month or Annual (12-Month Agreement).

Month-to-Month services are billed monthly.

Annual agreements are billed in full at the discounted annual rate prior to service activation.

Annual agreements are non-refundable once service has begun unless otherwise agreed in writing.

Affiliate Pricing

If TLSM LLC qualifies for Affiliate pricing, a discount may be applied in writing.

If Affiliate status is canceled, standard tier pricing will apply beginning the next billing cycle.

Intellectual Property Ownership

Any and all graphics, images, branding materials, designs, code, and digital assets created by VIP TECHNOLOGIES specifically for Texas Lone Star Moringa LLC and/or texaslonestarmoringa.com shall become the sole property of Texas Lone Star Moringa LLC upon full payment.

Texas Lone Star Moringa LLC shall retain full ownership and unlimited usage rights of all such materials.

Financial Responsibility & No Sales Guarantee

VIP TECHNOLOGIES provides services in good faith but does not guarantee specific search rankings, traffic increases, revenue growth, or sales performance.

Website performance may be affected by third-party platforms, hosting providers, algorithm changes, technical issues, or market conditions beyond the control of VIP TECHNOLOGIES.

VIP TECHNOLOGIES shall not be held financially responsible for loss of revenue, loss of sales, downtime caused by third parties, or indirect or consequential damages.

No promise of sales is expressed or implied under this Agreement.

Payment & Late Fees

Payments are due upon receipt of invoice unless prepaid under an Annual Agreement.

Payments not received within 10 days may incur a 5% late fee and services may be suspended until payment is brought current.

Termination

Month-to-Month agreements may be terminated by either party with 30 days written notice.

Annual agreements may be terminated early only by mutual written agreement.

Acceptance

By completing your purchase or signing this Agreement, you acknowledge acceptance of these terms.
